TERMS AND CONDITIONS FOR SERVICES
1: BACKGROUND AND DEFINITIONS. –
1.1 JG PROPERTIES SOLUTIONS LTD, is a private legal entity incorporated and existing under the Laws of England and Wales, with its main office address at Unit 1 Valmar Road Industrial Estate, London, SE5 9NW, England. From now on and for the purposes of this Terms & Conditions for services may be called “THE COMPANY”;
1.2 The private entity, residential entity, commercial entity or government entity, that has accepted a Quotation and/or Project with JG PROPERTIES SOLUTIONS LTD, will be referred to simply as “THE CLIENT”;
1.3 The Quotation and the initial “Drawing/s” when apply for projects that require drawings – when applies due to the type and scope of work in this service agreement contract, the type and scope of work, that THE CLIENT wishes to hire from THE COMPANY, will be referred to simply as “THE PROJECT”;
1.4 When applies due to the type and scope of work in this service agreement contract, the final 2D and/or 3D drawing with all necessary measurements it is only referred to the same initial “Drawing/s” in this terms and conditions for services, with the only variation of a 2D and/or 3D format plus all the necessary measurements after a site visit has been completed at THE CLIENT premises or location.
1.5 “SNAGGING” it is intended as the process of checking a newly completed project for minor faults that need to be rectified. It is also intended THE PROJECT for THE CLIENT. It is also intended the QUALITY CONTROL step THE COMPANY does with THE CLIENT and /or an appointed person by THE CLIENT for this QUALITY CONTROL step.
1.6 “INCOMPLETE WORKS” it is intended as an INCOMPLETE PROJECT. It is also intended when THE PROJECT for THE CLIENT has not been completed yet.
1.7 “COMPLETION” it is intended when THE PROJECT is substantially complete and ready for use, or when each part of the agreed quotation has been delivered for THE CLIENT.
2: OBJECT OF THE TERMS AND CONDITIONS. –
With this background, THE CLIENT hires the services of THE COMPANY, to carry out professional work for THE PROJECT.
3: PARTIES. –
This Terms and Conditions for Services is made between THE COMPANY and THE CLIENT as detailed in here and agreed Quotation with THE CLIENT.
4: SCOPE OF WORK. –
THE COMPANY shall carry out for THE CLIENT works as detailed in this Terms and Conditions for Services, the agreed Quotation and THE PROJECT.
5: TERMS AND CONDITIONS FORMATION. –
This Terms and Conditions for Services becomes legally binding upon acceptance of the Quotation via email, in writing, and/or paying an agreed deposit with THE CLIENT.
6: PROJECT PRICE. –
The total price for THE PROJECT shall be as stated in the agreed Quotation.
7: PROJECT DESCRIPTION. –
The total description for THE PROJECT shall be as stated in the agreed Quotation with THE CLIENT.
8: APPROVED DRAW INGS AND VARIATIONS.
8.1 When applies due to the type and scope of work in this service agreement contract, once THE CLIENT has approved the initial drawing/s for THE PROJECT and /or accepted the associated Quotation, the initial drawing/s shall be deemed final and form part of this this Terms and Conditions for Services service agreement. No alterations, amendments, or variations to the approved initial drawings will be permitted thereafter.
8.2 Upon THE CLIENT has approved the initial drawing/s and when applies, THE COMPANY within no longer than 5 working days, will visit THE CLIENT premises or location to take all necessary measurements for THE PROJECT.
8.3 Upon taking all necessary measurements for THE PROJECT, THE COMPANY will create a final 2D or 3D drawing with all necessary measurements within 72 hours and send it to THE CLIENT for a final review and/or approval.
8.4 THE CLIENT, will have a limit of 5 working days from the date the final 2D or 3D drawing with all necessary measurements has been sent, to review and/or approve.
8.5 When applies due to the type and scope of work in this service agreement contract, THE COMPANY, reserves the right to approve the final 2D or 3D drawing with all necessary measurements for THE CLIENT, if a final review and/or approval has not been received in writing or via email, within 5 working days from the date the final 3D drawing with all necessary measurements, has been sent by THE COMPANY to THE CLIENT.
8.6 Should THE CLIENT request any changes to the final 2D or 3D drawing following approval and/or acceptance of this service agreement contract, such request shall constitute a variation to the Terms and Conditions for Services agreement. In such circumstances, THE COMPANY reserves the right to suspend works and issue a New Quotation, initial drawings and/or final 2D or 3D drawing with all necessary measurements for THE CLIENT consideration, before THE PROJECT can resume.
8.7 No variation shall proceed unless the New Quotation, initial drawings and/or final 2D or 3D drawing with all necessary measurements have been reviewed and approved by THE CLIENT in writing or via email, and any applicable adjustment to cost and materials has been agreed.
9: FEES AND PAYMENT TERMS.
9.1 The total value of the project and the fees that THE CLIENT agrees to pay for THE PROJECT is the value stated on the Quotation.
9.2 It is required a 25% deposit of the total price of THE PROJECT to start including VAT.
9.3 The 25% deposit of the total price of THE PROJECT to start is a non-refundable deposit.
9.4 The final balance of THE PROJECT is payable immediately upon completion of THE PROJECT within 5 working days.
9.5 A late payment fee of 1% of the total value of THE PROJECT per day applies after 5 working days from the completion of THE PROJECT, until the balance or outstanding fees have been paid to THE COMPANY.
9.6 For projects below £5,000 GBP plus VAT, the payments terms will be 25% advance deposit to start, and the 75% of balance remaining, will be paid upon completion of THE PROJECT within 5 working days.
9.7 Stage/s payments apply for projects above £5,000 GBP plus VAT. The payments terms will be 25% advance deposit to start, a second 25% advance deposit stage/s agreed on the Quotation with THE CLIENT, and / or when THE PROJECT starts on site at THE CLIENT agreed location on the Quotation, and the 50% remaining balance, will be paid upon completion of THE PROJECT within 5 working days.
9.8 The completion time of THE PROJECT depends on the scope of work and agreed deadline with THE CLIENT. except for “force majeure” means unforeseeable, unavoidable, and external events (e.g., natural disasters, war, strikes) makes performance impossible.
10: MATERIAL OWNERSHIP. –
All materials and THE PROJECT remain the property of THE COMPANY until full balance or outstanding fees plus interests are paid in full according to this Terms and Conditions for Services.
11: QUALITY CONTROL. –
11.1 THE COMPANY commits to do a final check of QUALITY CONTROL and “Snagging” before THE PROJECT for THE CLIENT is considered complete.
11.2 THE COMPANY commits to do a final check of Quality Control and “Snagging” with THE CLIENT on the final day of completion of THE PROJECT.
11.3. If THE CLIENT is not available on the final day of completion and / or THE CLIENT has not appointed a representative for this matter, THE COMPANY has the right to consider THE PROJECT complete to THE CLIENT full satisfaction and no further snagging required.
11.4. For projects above £5,000 GBP plus VAT, THE COMPANY will do as many as necessary QUALITY CONTROL checks per each stage/s of THE PROJECT with THE CLIENT, as per the agreed Quotation, by filling in the SNAGGING & COMPLETION SIGN-OFF form.
11.5 THE COMPANY commits to do a final check of QUALITY CONTROL and “Snagging” with THE CLIENT on the final day of completion of THE PROJECT, filling in the below SNAGGING & COMPLETION SIGN-OFF form:

12: COMPLETION. –
12.1 Completion occurs when THE PROJECT is substantially complete and ready for use, or when each part of the agreed Quotation has been delivered for THE CLIENT and the SNAGGING & COMPLETION SIGN-OFF has been signed by THE CLIENT. At this stage, any outstanding balance is due payment within 5 working days from the date of THE CLIENT signature.
12.2 Minor “snagging” items do constitute incomplete works and shall delay final payment of THE PROJECT.
12.3 THE COMPANY agrees to remedy any “snags” found on the SNAGGING & COMPLETION SIGN-OFF form, at zero cost for THE CLIENT, within no more than 14 days.
12.4 THE COMPANY acknowledges that minor snags shall delay final payment of THE PROJECT.
12.5 THE PROJECT is considered completed when:
a) The “SNAGGING & COMPLETION SIGN-OFF” form has been signed by THE CLIENT.
or
b) When any issues mentioned on the “SNAGGING & COMPLETION SIGN-OFF” form by THE CLIENT, have been corrected by THE COMPANY to THE CLIENT satisfaction.
13: THE COMPANY GUARANTEE. –
THE COMPANY provides a 2-year workmanship guarantee for THE PROJECT starting from the SNAGGING & COMPLETION SIGN-OFF date, at zero cost for THE CLIENT.
14: PHOTOGRAPHY. –
14.1 THE COMPANY may photograph works and do videos for promotion and marketing purposes, in social media and the internet.
14.2 THE CLIENT grants permission according to the UK General Data Protection Regulation (UK GDPR), tailored by the Data Protection Act 2018, to photograph works and do videos for promotion and marketing purposes, in social media and the internet, of THE PROJECT.
15: TERMINATION. –
If THE CLIENT decides to terminate or withdraw the works of THE PROJECT, after the 25% advance deposit has been paid, THE CLIENT acknowledges that the 25% advance deposit is non-refundable.
16: DISPUTE RESOLUTION. –
Disputes shall first be addressed amicably, then by mediation if required.
17: GOVERNING LAW. –
17.1 This Terms and Conditions for Services is governed by the laws of England and Wales.
17.2 In the event of any dispute arising regarding the execution of this Terms and Conditions for Services, both parties expressly agree to renounce jurisdiction and domicile and submit to the civil judges of England and Wales.
18: NOTIFICATIONS. –
Notification that needs to be made in relation to this Terms and Conditions for Services will be made in writing and / or via email to the following address:

19: NATURE OF TERMS AND CONDITIONS. –
The parties expressly state that the nature of this Terms and Conditions for Services is strictly the provision of the service/s described, of a strictly civil nature, subject to the laws of England and Wales.
20: ANTI-POACHING. –
20.1 THE CLIENT and any individuals related to THE CLIENT, as family members, spouse, employees, partners, co-workers, related entities must not without the prior written consent of THE COMPANY, directly or indirectly approach or communicate with any of THE COMPANY employees, self-employed, contractors, sub-contractors, free-lance and / or officers having any connection or involvement with THE COMPANY, with respect to: (a) an offer of employment; b) contract or sub contract services; c) of direct employment, with THE CLIENT.
20.2 THE CLIENT agrees to pay THE COMPANY, within 5 working days, 1 year wage or salary for the job position the employees, self-employed, contractors, sub-contractors, free-lance, sole trader and/ or officers holds working for THE COMPANY, based on current London market wages and / or salaries for the job position.
20.3 THE CLIENT agrees to pay a late payment fee of 1% of the total value of the 1 year wage and / or salary for the job position the employees, self-employed, contractors, sub-contractors, free-lance, sole trader and / or officers holds working for THE COMPANY, based on current London market wages or salaries for the job position.
21: ADDITIONAL WORK/S. –
21.1 When additional works not included on the agreed Quotation with THE CLIENT, THE COMPANY will inform and Quote THE CLIENT prior to start any additional work/s in writing and via email.
21.2 THE CLIENT upon reviewing the additional work/s and Quote, will decide if THE COMPANY will carry out the additional work/s or not, by notifying THE COMPANY in writing and via email.
21.3 If THE CLIENT wishes for THE COMPANY to carry out the additional work/s, the fee for this additional work/s will be added to the final balance for THE CLIENT.
21.4 If additional work/s THE CLIENT wishes for THE COMPANY to carry out the additional work/s, the fee for this additional work/s will be added to the final balance for THE CLIENT.
21.5 When additional work/s not included on the agreed Quotation with THE CLIENT, are above £,5000 GBP plus VAT, and additional 25% deposit will be required before the additional work/s can start for THE CLIENT.
